The contract for using GroFi as a merchant, broker, or site visitor.

1. Agreement
These Terms of Service (“Terms”) are a contract between you and JRJ Group Holdings LLC, doing business as UNIFY (“UNIFY,” “we,” “us,” or “our”), for use of the GroFi website and application at https://grofi.com (the “Service”).
By using the Service, submitting an application, creating a broker account, or signing an authorization, you agree to these Terms and to the Privacy Policy. If you use GroFi on behalf of a business, you represent that you have authority to bind that business.
2. What GroFi is
GroFi helps small businesses apply for commercial financing, including purchases of future receivables (merchant cash advances) and similar transactions. GroFi is not a bank. Submitting an application is not an offer, commitment, or agreement to fund. UNIFY and any assignee retain sole discretion over whether to extend terms.
Any funded transaction is governed by its own contract, not by these Terms. If those documents conflict with these Terms, the transaction documents control for that deal.
3. Eligibility
- You must be 18 or older and able to form a contract under US law.
- Merchant applicants must be authorized owners or officers of the business.
- Brokers must complete onboarding, sign the ISO agreement, and be approved before submitting deals.
4. Accounts
Broker and staff accounts use an email and password issued through GroFi’s centralized user directory. You are responsible for the activity on your account. Passwords must be at least eight characters. Notify us immediately if you think an account is compromised. We may lock, suspend, or close an account to protect the Service or other users.
5. Applications and accuracy
You agree that information and documents you submit are true, correct, and complete. You authorize the credit, bank, and processor inquiries described in the application authorization, including consumer reports and, when you connect an account, Plaid data. Providing false information is grounds for decline, termination, and other remedies.
6. Bank connections
If you connect a financial account through Plaid Link, that connection is read-only for GroFi. You also agree to Plaid’s end-user terms and privacy policy. We may use the data to underwrite and service your application. We do not use the connection to debit or move funds.
7. Acceptable use
You may not:
- Access another person’s account or data without authorization
- Probe, scan, or reverse engineer the Service except as allowed by law
- Upload malware or attempt to bypass access controls
- Use GroFi for consumer lending, unlawful activity, or misrepresentation of a business
- Resell access to the admin or broker portal
8. Brokers
Brokers are independent contractors. The ISO / Referral Partner Agreement, when signed, adds to these Terms. Brokers may only submit merchants who authorized the submission. Brokers must keep merchant information confidential and may not store SSN or bank credentials outside GroFi.
9. Intellectual property
UNIFY and its licensors own GroFi, including the name, mark, software, and content. You receive a limited, revocable, non-transferable license to use the Service as offered. You keep ownership of materials you upload; you grant us a license to use them to operate GroFi and to underwrite and service transactions.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIFY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that an application will be approved, that terms will remain available, or that the Service will be uninterrupted or error-free.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIFY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE IS LIMITED TO THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE FEES YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM. This limit does not apply to liability that law does not allow to be limited.
12. Indemnity
You will indemnify and hold harmless UNIFY from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your breach of these Terms or the application authorization.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we shut down a feature. Sections that by their nature should survive (including 9–12 and 14) survive termination. Retention of records follows the Data Deletion and Retention Policy.
14. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in New York County, New York, except that UNIFY may seek injunctive relief in any court of competent jurisdiction.
15. Changes
We may update these Terms by posting a new version on this page. Continued use after the effective date is acceptance. If you do not agree, stop using the Service.
